Conducting Board, Committee Meetings & Annual General Meetings and assisting the Audits of the Company. Drafting policies, charters, codes and standard operation procedures for the function. All the statutory filings, reporting and all other secretarial compliance under Companies Act, 2013 and Foreign Exchange Management Act, 1999. Also advising and supporting Cummins India Ltd. (Listed Entity) for all the secretarial related matters.(2) Investor Relations: Investor Relations & Nodal Officer at Cummins India Ltd., listed on National Stock Exchange and Bombay Stock Exchange with a shareholder base of 1 Lakh+ Shareholders. Continuous dealing and interactions with Registrar & Transfer Agent, both the Depositories (NSDL & CDSL), SEBI, Stock Exchanges and Analysts/ Financial Institutions. Ensuring timely compliance and monitoring under SEBI Listing Obligations and Insider Trading Regulations. Recently automated the process for monitoring of insider trading under SEBI Insider Trading Regulations.(3) Legal Compliance Management: Monitoring the compliance process for 20 Plants (All Cummins Entities) and responsible for legal compliance audit at various plant locations followed by quarterly reporting of the same to the Board. Maintaining the checklist of legal compliance and trackers pertaining to factories consent & licenses. Recently rolled-out a robust IT based compliance management solution across all the plants, area offices & warehouses. (4) Ethics & Governance: Assisted Global Ethics projects for India Area Office as project coordinator, awareness initiatives for Anti-Bribery, Anti-Corruption & GDPR.
