Commercial Legal Drafting Axel taught an experiential course focusing on commercial legal drafting in the transactional and deal-making context. Students explored different commercial documents and agreements required for commercial practice and transactions. Specifically, law students engaged in the analysis, review and preparation of documents such as letters of intent, memoranda of understanding, agreements of purchase and sale, ancillary agreements and documentation, including communications with clients and opposing lawyers. The course goal was to give students an understanding of how commercial documents are structured, negotiated and drafted and to provide students, through in-class discussions and experiential learning exercises, with fundamental drafting tools necessary to be successful in commercial law practice.

Axel acted for corporate clients and executives in diverse business sectors and provided expertise with public and private Canadian and cross-border business transactions, acquisitions and dispositions, distress M&A, project development, securities offerings and venture capital and private equity investments. Among many clients, Axel acted for one of Canada's largest private equity groups, Canada's largest mortgage investment fund, the largest trust company in Canada, a Big 3 automaker, and multinational quick serve restaurant conglomerate. Introduction to the Practice of Transactional LawAxel introduced students to and taught the practice of transactional law in an intensive, experiential "boot camp" setting. The course consists of guiding students - acting as law firm associates - through several client counseling, research, due diligence, negotiation and agreement drafting exercises, based on a simulated transaction involving the purchase of a brewery and related assets from another company and its affiliates.
