KEY RESPONSIBILITIES• Lead for financial structuring of the multi-billion dollar 9.2 km Eglinton Crosstown West Extension LRT Project (Tunnel, Stations, Rail and Systems packages) & 7.8 km Scarborough Subway Extension Tunnel;• Providing commercially sound C-level advice, supported by quantitative analysis, on delay settlement negotiations;• Conducting financial evaluation of submitted bids. Past projects include Hurontario LRT in Mississauga and Advance Tunnel for Eglinton Crosstown West Extension; • Presenting new delivery model concepts and Procurement Options Analysis to senior ministerial officials, Treasury Board officials, Inter-Governmental P3 Community of Practice and Infrastructure Canada; and• Coaching and mentoring a pool of analysts and associates.

KEY RESPONSIBILITIES• Conducted regular credit reporting with head office in Paris on key credit relationships,• Maintained relationships for business development with key decision makers in large corporates,• Assisted in the preparation of pitch documents for public and private sector transactions,• Evaluated feasibility studies and business cases to assess bankability of the projects,• Supported senior decision makers on complex issues throughout the project life cycle,• Recommended financing structures based on the debt carrying capacity of the company/project,• Reviewed legal and technical due diligence with focus on transaction risk assessment and mitigation,• Negotiated complex contracts (project agreements, term sheets and loan documents etc.) involving the sponsors, SPV, syndicate banks and external legal counsel,• Managed external consultants (technical, market and legal) pursuant to their respective scope of work, • Presented and defended recommendations to the bank’s credit risk committee (including the chief risk officer and CEO) for credit approvals on senior debt, subordinated debt and equity bridge loans,• Reviewed and tested compliance with financial covenants and ratios during the term of the loans, • Worked closely with treasury teams for cross-selling hedging/derivative products to clients, and• Coached and mentored a small team of credit analysts and relationship managers.

• Conducted financial modeling and analysis for Greenfield projects in the petrochemicals, minerals, power generation & water desalination sectors; and • Assisted senior management in evaluating proposals by project suppliers.

Carried out financial modeling, analysis and due diligence for providing structured finance facilities to Greenfield projects in the telecom, power (generation, transmission and distribution), and fertilizer sectors. Managed transactions to the tune of US$ 1.0 billion (PKR equivalent)Coordinated and negotiated with the Sponsors as well as the Banks in the Syndicates involved in the funding of the respective projectsPro-Actively studied the functions and revenue generation capacities of different public sector entities in the post deregulation economic environment of Pakistan to better structure the transactions for infrastructure developmentWorked together with the lawyers to ensure that all securities and covenants were in place in the facility documents.
