Primary areas of responsibility include mergers, acquisitions and divestitures, global corporate entity management and compliance, and corporate governance and board support. Additional responsibilities include assisting business units in the review and negotiation of vendor and client contracts.• Partner with the Corporate Development team and cross-functional groups on the implementation of M&A processes and consummating strategic transactions throughout all stages of M&A activity including NDAs, deal structure, LOIs, due diligence, transaction documents, regulatory approvals, insurance, and post-close integration• Provide legal advice and assist in the oversight and management of the company’s global portfolio of entities to ensure compliance with local regulations and best practices, as well as the creation and rationalization of entities to reduce legal compliance, tax audit risks and tax inefficiencies• Provide board and director support for Fiserv, Inc. and its corporate subsidiaries, including acting secretary for regulated subsidiaries and drafting of annual and ad hoc board agendas, minutes and resolutions; assist in the creation and review of the company’s political contributions and expenditures report; assist in the review of investor/client presentations and press releases; and prepare due diligence review for debt offerings• Draft and review intercompany service and operating agreements, as well as loan notes and direction letters to facilitate intercompany distributions and cash repatriation

Led a team of 3 attorneys, paralegal and contracts administrator providing advice on an array of corporate legal matters including contracts, real estate, IP, labor and employment, compliance and risk management strategies for a multi-billion dollar company with 6,500 employees throughout North America.• Managed the review, negotiation, and administration of vendor and customer contracts and the implementation of the company’s first lifecycle contract management system, process and guidelines to facilitate the efficient review and negotiation of SaaS, software license, and purchase agreements.• Oversaw protection of the company’s intellectual property portfolio and research and compliance related to third-party intellectual property.• Handled all legal aspects of adding or replacing 19 million square feet to the company’s real estate portfolio, including leases, purchase and sale agreements, development agreements, construction loan and credit agreements, and the creation of real estate holding companies and operating agreements.• Created and conducted company-wide training in areas of harassment and discrimination, FCPA, data privacy, antitrust, attorney-client privilege, and general corporate and regulatory compliance.• Managed outside counsel and evaluated the quality and costs of services provided to ensure compliance with the legal departments’ outside counsel engagement guidelines and the company’s insurance policies.• Continue to manage a number of matters as previously assigned as Corporate Counsel

Helped develop the corporate legal strategy and roadmap to scale the legal department from two attorneys and a paralegal to six attorneys, a paralegal and a contracts administrator and participated in the development and implementation of corporate policies, procedures and programs to provide legal advice and guidance on a wide range of legal, regulatory and transactional issues.• Created and implemented best practices and guidelines to assist the company’s sales team with negotiating strategic customer contracts, closing deals in the most efficient manner and effectively selling the company’s standard legal terms.• Worked closely with all business units and cross-functional teams on internal and external compliance matters in areas of supply chain management, marketing, advertising, privacy and employment.• Assisted in the development of risk management strategies to effectively reduce workers’ compensation claims• Supervised litigation matters as assigned and provided support to and managed outside counsel.
