American Roofing & Metal Co., Inc. is a full service commercial roofing contractor. Our headquarters have been located in San Antonio, Texas since 1904. We have been owned and operated by the Spalten family for five generations. Our roofing capabilities include all types of roofing from service and leak repairs to roofing distribution facilities and sporting arenas. Our facilities include a sheet metal fabrication shop where we can form architectural sheet metal to meet any roofing demand. We also feature a full service department that can quickly respond to a leaking roof.

• Draft and negotiate contracts for the maintenance of and “small-cap” construction projects at various clients’ facilities, including high voltage and substation work.• Draft and negotiate subcontracts with various vendors and suppliers.• Draft and negotiate engineering, procurement, and construction contracts.• Draft and negotiate software licensing and IT support contracts.• Draft and negotiate real estate leases.• Draft and negotiate non-disclosure agreements.• Manage litigation and contractual disputes.• Manage labor and employment issues, including EEOC Charges, wrongful termination claims, sexual harassment claims, and Equal Pay Act claims.• Previously drafted and negotiated engineering and consulting services contracts.

• Experience in general commercial litigation, including breach of contract, oil & gas, and Texas Deceptive Trade Practices Act litigation.• Real estate experience, including real property development, the negotiation, drafting, and review of releases of right-of-ways and easements, the negotiation, drafting, and review of earnest money contracts, the negotiation, drafting, and review of listing agreements, and the negotiation, drafting, and review of lease agreements.• Transactional experience, including the negotiation, drafting, and review of non-disclosure agreements, the negotiation, drafting, and review of shareholder agreements and purchase agreements, and the negotiation, drafting, and review of contracts for providing consumer information in compliance with the Federal Fair Credit Reporting Act and the Gramm-Leach-Bliley Act, as well as the formation of Texas entities.• Experience in foreclosure proceedings.• Second-chair trial experience in state district court.• Legal writing experience in both federal and state courts, as well as appellate courts.• Legal research experience in a broad range of legal topics.• Experience with objecting and responding to various discovery requests, including subpoenas and requests for the production of documents.• Deposition and oral argument experience.• Employment litigation experience, including Texas Workforce Commission proceedings.

• Second-chair trial experience in state district court.• Deposition and oral argument experience.• Briefing experience in both federal and state courts.• Legal research experience in a broad range of legal topics.• Experience with objecting and responding to various discovery requests, including subpoenas and requests for the production of documents.• Experience in securities litigation, New York Stock Exchange arbitration, ERISA litigation, insurance defense litigation, and general commercial litigation, including breach of contract and Texas Deceptive Trade Practices Act litigation.• Representation of corporate alliance in the protection of its members’ copyrights, which included the negotiation of settlements• Representation of officer and director of publicly held company in action brought by the Securities & Exchange Commission.• Representation of publicly held company in fraud and negligence action brought by holders of warrants and options to buy stock in company.
