Current- I typically represent financial institutions and their holding companies during the organizational, capital raising, and business combination processes. I advise these entities on both bank regulatory issues and public.
- Handle bank mergers and branch acquisitions or divestitures, including corresponding regulatory applications.
- Handle debt and equity offerings.
- Assist both corporate entities and affiliated individuals with structuring and negotiating compensation arrangements, including employment agreements, change in control agreements, severance agreements, equity and cash.
- Handle regulatory compliance issues, including formal and informal enforcement actions, including against affiliated individuals of financial institutions.
- Serve as independent counsel for directors and officers of financial institutions.Focus areas: general corporate, bank regulatory, mergers and acquisitions, securities, corporate governance and executive compensation.
