• Manage and oversee the Company’s defense against commercial, regulatory, real estate, labor and employment and immigration lawsuits and administrative proceedings. Coordinate and oversee activities of all outside counsel when lawsuits and administrative proceedings are brought against the Company. • Negotiate, review and draft: 1) Master Service Agreements, Long Term Service Agreements and Framework Agreements with commercial customers for the provision of photovoltaic solar energy inverters, solar battery energy storage systems and related services; 2) Engineering, Procurement and Construction (“EPC”) agreements with State and local energy providers, engineering companies, construction companies and general contractors related to large scale renewable energy construction projects and repair related services; 3) commercial real estate leases and agreements; 4) service provider agreements with vendors; 5) IT/Software (SAAS) licensing agreements; 6) IP licensing agreements; 7) advertising and marketing agreements; 8) asset purchase and sale agreements; 9) non-disclosure agreements; and 10) sponsorship agreements.• Provide advice, counsel, and support to all levels of management, internal clients, regional personnel, and Human Resources on employment law, labor law, wage and hour law and employee compensation and benefits law, such as ERISA. Manage the company’s defense against employment discrimination lawsuits, Federal and State Department of Labor inquiries, as well as Federal and State unfair labor practice charges. Coordinate and oversee activities of outside counsel when labor and employment litigation is brought against the Company. • Prepare and maintain corporate governance documents, Board of Director resolutions and meeting minutes for all necessary Board actions and decisions required under Company’s Rules of Procedure.• Provide legal counsel, oversight and support to company’s Marketing Department.

*Directly oversee and manage the Company's Legal and Risk Management departments. * Manage all litigation filed against the company, including wage and hour matters, EEO claims, ADA actions, franchise matters, joint employment claims, contractual and lease disputes, dram shop claims, and consumer class actions. *Negotiate, review and draft franchise agreements, leases, guaranties, corporate contracts, collateral assignments, and related documents. * Prepare annual Franchise Disclosure Document. * Supervise annual insurance renewal process for all insurance product lines (General Liability, Directors & Officers, Property & Casualty, and Employment Practices Liability) and create policies and procedures to manage risk related to liquor sales. * Provide day to day legal support and advice to all business units and management teams, regional field managers and restaurant General Managers in the areas of franchise law, labor and employment law, dram shop law, advertising and marketing and contracts.

• Directly negotiate and/or collaborate with several business teams, including internal procurement, distribution and real estate departments, to negotiate complex agreements, such as vendor agreements with healthcare benefits and services providers, complex commercial real estate leases, service provider agreements, IT/Software (SAAS) licensing agreements, IP licensing agreements, advertising and marketing agreements, asset purchase and sale agreements, vehicle and rail transportation agreements, vehicle loan agreements, non-disclosure agreements and sponsorship agreements.• Deliver advice, counsel, and support to all levels of management, internal clients and regional personnel on commercial and business related transactions and legal disputes. Manage and oversee the company’s defense against commercial and business related lawsuits. Coordinate and oversee activities of outside counsel. Ensure that the company complies with all applicable Federal statutes and regulations that affect the company’s business operations and the privacy rights of our customers, including the Foreign Corrupt Practices Act (“FCPA”), Fair Credit Reporting Act (“FCRA”), Fair and Accurate Credit Transactions (“FACT”) Act, as well as with internal corporate rules and policies. Prepare and maintain Board of Director resolutions and meeting minutes for all necessary Board actions and decisions. • Deliver legal counsel, oversight, and support to company’s large and complex Marketing Services Department. • Deliver legal counsel, oversight and support to Company’s Dealer Network, four regional offices and large field staff regarding state automobile franchise laws, automobile dealer protests and automobile dealer relations issues across the United States. Provide legal counsel and support to internal lobbying group that works with Alliance of Automobile Manufacturers and State legislatures to ensure that they pass franchise legislation that is fair to automobile manufacturers.

Participated as lead attorney in trials before the New Jersey Superior Court, administrative hearings before the New Jersey Office of Administrative Law and the New Jersey Public Employment Relations Commission, employee disciplinary and grievance hearings, depositions and arbitrations in the areas of Labor and Employment litigation; participated in contract negotiations on behalf of public sector labor unions; prosecuted all aspects of civil service administrative appeals before the New Jersey Department of Personnel; drafted various types of motions, pleadings and discovery in the areas of Labor and Employment litigation in both Federal and State Courts in New York and New Jersey; drafted appellate briefs to the Superior Court of New Jersey, Appellate Division and the United States Court of Appeals for the Third Circuit.
