Cvent provides software solutions (SaaS) for the events & meetings industry. Reporting to the General Counsel, I served as the company's lead attorney for all matters relating to disclosure, SEC and NYSE regulation, equity compensation, executive compensation, corporate governance, ethics, and mergers & acquisitions. As the role primarily handled matters relevant to publicly-held companies, the position was eliminated upon Cvent's acquisition by Vista Equity Partners.My responsibilities included:- Managing the drafting and review of all ’34 Act filings, including 10-Ks, 10-Qs and 8-Ks. advising PR, Marketing and SEC Reporting groups on disclosure matters.- Drafting and filing the annual proxy statement.- Coordinating all aspects of the annual meeting of stockholders (broker search, printing and mailing of the proxy materials, and preparation of annual meeting agenda, script, rules of conduct, and minutes).- Section 16 filings, insider trading policy, equity grant agreements and related documents.- Supporting Board of Directors proceedings relating to disclosure, executive compensation, corporate governance and mergers & acquisitions, including preparing resolutions, memoranda and presentations for the Board and committees; - Monitoring and reporting to the General Counsel and Board on legal and market practice developments affecting Cvent’s disclosure, compensation, corporate governance, mergers & acquisitions, and ethics & compliance.- Leading mergers & acquisitions legal deal teams, drafting M&A transaction agreements, and conducting legal due diligence.- Manage corporate governance policies and documents, including corporate bylaws, Corporate Governance Guidelines and Board committee charters; manage key ethics and compliance policies and training materials; manage whistleblower hotline; supervise corporate paralegal with respect to corporate minute books and state, local, and international corporate filings.
