As Partner and Group Commercial Director I am responsible for driving strategic growth, marketing, and sales activities across the Acclime group, whilst continuing to lead our business development in Australia and New Zealand. I lead the team making the complex simple for offshore companies coming to Australia or the USA to undertake research and development, sell their product or invest in a business.

As a co-founder and the Chief Executive Officer at Acclime Australia I am responsible for managing overseas clients throughout South-East Asia, Greater China, UK/Europe and MENA. Company Secretary for the parent entity (RI Group Limited) as well as seven wholly-owned Australian subsidiaries, two wholly-owned overseas entities, and three investee companies. Responsible for:• Representing the Group in its interactions, and maintaining registrations with, ASIC and Chinese/Hong Kong regulatory authorities and maintaining shareholder registers• Managing Board processes – Board and committee papers and circulation of agendas, minutes, discussion papers, and proposals for the Board • Preparation of shareholder briefing materials in both English and Chinese for the Group’s significant Chinese shareholder• Provision of translation services during meetings with Chinese shareholders and investor groupsAs Legal Counsel, responsible for corporate affairs in Melbourne and legal affairs in Greater China:• Providing general legal advice relating to the Group’s operations in Australia and Greater China • Providing advice to directors regarding the Corporations Act, constitution, Trade Practices Act, and other legal and regulatory requirements • Managing and supervising outsourced legal teams in Australia and Greater China • Working with advisors to the Group on the preparation of taxation and financial statements• Developing the Group’s China investment advisory business, in particular the delivery of cross border transactions• Drafting a range of legal documents, including employment agreements, consultancy agreements, loan deeds, deeds of charge, shareholder agreements, confidentiality agreements.• Coordinating defence of legal actions in Australia

As Company Secretary, responsible for all corporate governance matters for the parent entity:• Maintaining registrations with ASX and ASIC, and maintaining shareholder register • Drafting and lodging Company Announcements with the ASX Company Announcements Platform• Establishing internal policies and procedures to ensure compliance and reporting requirements are fulfilled, including share trading policy and continuous disclosure policy and procedure• Preparation of Board and Board Committee packs and maintenance of minutes• Preparation for and management of General Meetings of Shareholders• Developing and maintaining company risk management framework and risk register• Liaising with external stakeholders and investorsAs General Counsel, responsible for corporate affairs in Melbourne and legal affairs in China:• Providing general legal advice and support, and ensuring compliance, in areas relating to the Company’s operations in Australia and abroad• Managing and supervising outsourced legal teams in Australia, China and North America • Drafting of contracts in both English and Chinese, including licence agreements, distribution agreements, and employment contracts• Coordinating litigation in China, North America, and Australia• Coordinating and maintaining registrations of intellectual property worldwide
