For the past thirteen years, I have been teaching a class (Biotech Financial Matrix) at Georgetown University to Graduate Students in the Life Science Program. The goal is to expose the graduate entrepreneurial biotech students to business and financial concepts that will help them when they begin working full time. The topics I cover include Federal Grants & Contracts, Return on Investment, and Strategic Planning.

Majestic Asset Trust is a Holding Company for Distribution, Service and Staffing companies. Currently responsible for Acquisitions and Divestitures including obtaining financing performing due diligence and integration of business operations. Also responsible for all Strategy, Finance, Accounting, and Treasury functions for all related companies. Paragon is a diverse collection of companies that include 1) a Provider of Medical Staff to the Federal Government; 2) Full Scale solutions for Nurses and Allied Healthcare Professionals including immigration support for placement within the United States; and 3) Clinical Research Services to the Pharmaceutical and Biotech Industry. Combined revenues of all companies total $55 million. This is a highly leveraged turnaround situation. Responsible for all Accounting, Contracts, Pricing, Human Resource and Information Technology Functions - Department consists of 13 employees Provided financial leadership and guidance in completing the Divestiture of a Software Development Company for $1.5 million Led the team and was the final decision maker in selecting a new Health Benefit Provider to save $300k per year Developed a “Dashboard” of Key Performance Indicators for senior management and the owner to monitor and evaluate performance Five companies currently under Letter of Intent to Purchase with Revenues of $200 million.

Start-up Company designed to provide services to the Federal Government established by former owners of SPT (see below). Owners were not able to generate revenue from the Federal Government. Therefore, I provided analysis and advice to owners on their other business matters and personal spending. I restructured their debt and investments to save them over $1 million.

Provider to the Intelligence Community of Personnel specializing in the analysis, design, and development of system level software and web-based applications that are targeted for existing and emerging technologies. $34 million in revenue and 140 employees.Principal advisor to owner in developing and implementing an exit strategy to maximize value. Owner received 3 times more than the first offer she received from a Private Equity company shortly before I joined the company. Selected Investment Banker and provided strategic advice to prepare Confidential Information Memorandum for distribution to potential buyers. Delivered presentations to buyers participating in the auction process. Responsible for answering all financial due diligence questions received from prospective buyers.Responsible for all Accounting, Finance, Information Technology, Contracts, Business Operations and Facilities.Introduced Strategic Planning Process resulting in organizational consensus on Goals and Objectives designed to improve performance.Implemented new processes to improve Revenue Recognition and Collection of Accounts Receivable. Negotiated Vendor agreements to achieve savings of $1 million. Designed a new Indirect Rate Structure, accepted by DCAA, to improve proposal pricing capability.

Sotera has over $400 million in Revenue and 1,500 employees. Sotera acquired Software Process Technologies (SPT) in September of 2011.Responsible for Integrating SPT with Sotera processes, leading the division after the SPT owner resigned, and Cash Management for the entire company. One of 18 employees awarded Equity options in Sotera.

A respected provider of IT-based services with core competencies in information security, network engineering, help desk call centers, enterprise architecture and net-centric operations. The company grew from $40 million when I joined in 2006 to $90 million in revenue and 570 employees. A subsidiary of publicly traded TechTeam Global (NASDAQ:TEAM) focused on serving the Federal Government.Responsible for all Accounting, Finance and Business Operations including Federal Contract Administration, Pricing, Budgeting & Forecasting, Mergers & Acquisitions, Facilities, Quality, and SOX compliance. Department consists of 23 employees.Received President’s “Driving Force” award for Fiscal Year 2006 performance.Led Financial Due Diligence and was a member of the negotiating team for two acquisitions totaling $40 million in annual revenue. Provided negotiating strategy and advice to reduce purchase price by $1 million. Implemented new Deltek Accounting System. Integrated Accounting Operations of companies acquired saving $500k per year in reduced labor costs. Initiated and Implemented Continuous Process Improvement techniques to improve the Accounts Receivable process to eliminate waste in the system. Improved Days Sales Outstanding by 25%.Saved $750k per year by optimizing the amount of office space leased by the company.Sold TechTeam Government Solutions to Jacobs Technology. Selected Investment Banker and provided strategic advice to prepare Confidential Information Memorandum for distribution to potential buyers. Delivered presentations to buyers participating in the auction process. Responsible for answering all financial due diligence questions received from the buyers.

The company grew from $25 million in revenue when I joined in 2000 to $58 million and 370 employees.Responsible for all Finance and Accounting functions including Federal Grant and Contract Administration, Treasury, Tax, Audit, Insurance, and Board Communications and Presentations. Department consists of 17 employees.Grant & Contract revenues grew from $6 million to $28 million during my tenure.Changed cost recovery methodologies for Government Grants and Contracts and negotiated Indirect Rate Agreements resulting in improved bottom line performance totaling $2 million on an annual basis.Implemented a Cost Accounting System to improve pricing of products and decision-making ability resulting in $500k of annual savings.Created a holding company structure to minimize tax and legal liability. Tax strategy saved company $600k per year.Placed a $4 million bond to finance facility expansion.Introduced Electronic Timesheets for recording actual time worked and projecting future labor resource requirements.Led the acquisition and implementation of COGNOS to improve Planning and Forecasting, Reporting, and Performance Management.
