I have a general corporate and tax practice, with a particular focus on tax-exempt organizations, estate planning and charitable planned giving, tax-exempt financing and federal and state tax planning and controversy work.I represent exempt organizations (including public charities, private foundations, trade associations, social welfare organizations and social clubs) from formation and operation to merger or dissolution. I serve as general counsel for exempt organizations and have advised them on tax and governance issues including the following:1. intermediate sanctions;2. unrelated business income, and the use of for-profit subsidiaries and single member limited liability companies; 3. restrictions on lobbying and political campaigning;4. private foundation rules;5. church and religious organization issues and6. charitable solicitation licensing filings and planning.I also represent exempt organizations in federal and state tax audits.
