Engaged by Private Equity and Corporate clients to perform detailed target company buy/sell side operational due diligence with a focus on:- EBITDA upside and operational risk identification/quantification associated with the proposed transaction.- Buy side carve-out and integration/stand-alone operational planning to determine economic and operational feasibility of deal, with a focus on overall SG&A, headcount, spans/layers, geographic considerations, and product optimization.- Sell side carve-out and separation, including Transition Services Agreement (TSA) preparation.- Synergy analyses to determine degree of economic upside by merging/consolidating businesses in various transaction scenarios.- Ongoing performance improvement, both post-acquisition and restructuring in economic downturn.

Engaged by Private Equity and Corporate clients to perform detailed target company buy/sell side due diligence through historical and forecast financials, interviews with CEOs/CFOs and research of industry trends related to companies with revenues between $25 million to $2 billion:- Quality of earnings analysis (non-recurring revenue/costs, out of period adjustments, cash/accrual basis), working capital analysis (including seasonality and historical trending) and net debt considerations.- Customer/brand/product/geography level performance (revenue, margins, EBITDA, inventory, etc.).- Forecast achievability and cash flow forecasting.
