I worked as a corporate attorney, focusing my practice on advising clients in the health care industry on various contractual, corporate governance, and management issues. I drafted and negotiated numerous complex contractual arrangements on behalf of health care clients, including the negotiation of physician employment agreements, various health care provider independent contractor arrangements, hospital management agreements, and other agreements between health care entities, health care providers, insurance companies and benefit managers. I also assisted health care entities on various corporate governance matters, including drafting bylaws, risk management policies and procedures, and other internal management documents for health care entities and medical staff in compliance with health care regulatory requirements.I also put my skill set to work for corporate clients with respect to the formation of business entities, changes and management of contractual relationships, asset and stock acquisitions and dispositions, mergers and other fundamental business changes. In the course of my corporate experience, I also handled general real estate matters as part of corporate transactions.
