I am the Chief Legal and Compliance Officer for Lexmark International Inc., a global imaging and technology solutions provider. I serve on the executive management team and manage Lexmark’s worldwide legal, government affairs, compliance, internal audit, data privacy, and security functions, including acting as the Corporate Secretary and primary liaison to its board of directors and investors. I also serve as Lexmark’s national security officer, tasked with protecting US national security interests and ensuring compliance with Lexmark’s National Security Agreement with the US Departments of Defense and Homeland Security.Throughout my 25-plus years of legal and business advisory at Lexmark, I have worked across various external and internal business and legal challenges as well as been privy to Lexmark’s transformation from a public company to a privately held one. I have proudly served as the company’s voice of reason and steady hand to effectively manage crisis and change with a relentless drive to succeed and protect the company’s interests. In my daily work, I advise on key areas of corporate governance, M&A, complex financial transactions, compliance, commercial and IP litigation, government affairs, international trade, and data privacy. As the company’s chief legal and business advisor, I guide the business on complex matters through practical and realistic assessments, creative problem solving, and dogged determination, leveraging a deep focus on advancing Lexmark’s strategy in legally and ethically sound ways. I manage 45 employees worldwide across Lexmark’s legal and compliance functions (including 20+ attorneys), as well as oversee outside counsel. Prior to assuming the role of Chief Legal Officer in 2017, I served as Lexmark’s chief intellectual property counsel with oversight for managing its IP portfolio and strategy.
