Overall legal responsibilities for a dynamic general contracting and design build company. I primarily served as a member of the leadership team to provide legal and strategic advice. Among my other duties, I reviewed prospective projects for risk, viability, and priority within the marketplace, trained operational teams, and audited jobs. I served as the lead negotiator in claims, procurement, and strategic partnership relations.

Founded in 2012, Athas Health supplied management services to medical providers designed to increase efficacy and reduce system-wide costs. I took on overall responsibility for the company’s legal affairs as well as significant operational duties and initiatives. Highlights include:• Led sale of Athas Health to strategic buyer for $34MM. I organized an internal transaction team that allowed us to keep outside legal spend to less than 0.21% of the total transaction value. • Developed strategic partnership with hospital management company, increasing 2014 gross revenue by $7.2MM with projected 400% EBITDA increase in 2015.• Headed sale of business unit to former chairman.• Assisted sale effort and related presentations to both strategic and financial buyers. • Created curriculum and taught leadership development program for all executives, managers, and company employees increasing employee engagement and growth.• Organized and led semi-annual management retreat.• Drafted all operating documents and systematized all organizational record keeping.• Resolved numerous employment claims, including termination of former president and transition of former chairman. I left private practice in order to help a group of investors purchase key assets of a struggling business. This endeavor turned out to be an extremely complicated transaction involving acquisition of founding member units from a bankruptcy estate and resolution of 28 existing lawsuits (settling $50MM in claims for less than $1MM) surrounding the predecessor entity besides the asset purchase itself. In addition to the originating transaction, I created functional systems for a rapidly growing business which included:- Building a human resources department along with related functions such as key personnel employment agreements, drafting employee policy and procedure manual, conducting workforce training, instituting a performance evaluation system along with complaint and investigation protocols, and securing benefits plan- Creating a contracting system linking business development efforts with proper documentation and compliance- Building and managing formal corporate secretary functions- Securing insurance coverage for business operations as well as executive and officer protection

One of the largest law firms in Texas, Gardere is a full-service, regional law firm focusing located in Texas and Mexico City. Gardere has since merged with Foley Lardner. I managed a mixed transactional and litigation practice largely focused on energy, construction, and real estate development. My practice spanned all aspects of planning, transactions, strategy, litigation, and daily decisional processes for my clients. I supervised numerous attorneys and other staff. Gardere elected me to partnership at earliest eligible date. I also sat on Recruiting and Associate Mentor Committees. I led the firm United Way Campaign (2009 to 2012). Representative clients included: energy companies; real estate developers; utilities; general contractors; design-build conglomerates; financial institutions; governmental units; professional service firms; manufacturers; and volume homebuilders. I served as general counsel for several clients without an in-house lawyer.
