Commercial Real Estate Development, Disaster Recovery, Healthcare, Corporate Law, Transactions• Assist clients with negotiations, comprehensive coordination and management of multi-million dollar complex construction projects, including but not limited to South Cameron Memorial Hospital, St. Bernard Parish Hospital and New Orleans East Hospital.o Management of all aspects of development, procurements, land acquisitions, zoning ordinances and variances, contracts, donations, general contractors, design professionals, government and regulatory approvals and equipment purchasing. o Management of compliance with a myriad of complex program requirements for multiple state and federal funding sources and grants including but not limited to Federal Emergency Management Association (FEMA), Community Development Block Grant (CDBG), State Capital Outlay, state and federal new markets tax credits and HUD-242 mortgage insurance programs.o Administration and oversight of budgets and reimbursement processes for recipients of FEMA and CDBG grants. • Substantial experience with Louisiana Public Bid Laws and administration of public procurements. • Prepare, negotiate and assist with multi-million dollar healthcare transactions, non-profit and private hospital sales and acquisitions, leases, lease-backs, subordination and non-disturbance agreements, construction management contracts, commercial lease agreements, professional services agreements, and corporate governance documents;• Assist clients with the negotiation, purchase and implementation of hardware, software and comprehensive technology systems and networks.• Assist in the formation of healthcare entities, negotiation and preparation of joint ventures, cooperative endeavor agreements, public-private partnerships, physician employment and independent contractor agreements, and plans of correction.

Intellectual Property, Corporate Business Law, Regulatory Compliance, Litigation• Litigate corporate matters, landlord/tenant disputes, intellectual property and Internet matters in federal and state trial courts, courts of appeals and administrative agencies throughout the United States.• Draft, negotiate and prepare commercial and residential lease agreements, exclusive licensing agreements, confidentiality and non-disclosure agreements and employment and shareholder agreements.• Prosecute and defend trademark oppositions/applications before the U.S. TTAB and federal courts, draft and research trademark applications and marks, register trademarks and copyrights with government and foreign agencies, draft opinion of counsel letters and mutual consent agreements.
