I am currently a member of Chambliss, Bahner & Stophel, P.C., a Chattanooga-based, full-service law firm. My practice focuses upon a variety of legal issues affecting businesses, with a particular emphasis upon economic development, construction, creative financing solutions, state and local tax and other corporate matters. Prior to joining Chambliss, I served as Vice President, Legal for the North and Central Americas (NCA) region of a global chemical company. In this capacity I was responsible for all litigation and transactional matters related to the company's facilities in seven states in the U.S. as well as its operations in Mexico and Colombia. As a member of the company's Executive Management Team, I applied a legal lens to analyze strategic business decisions and employee policies within the region. In addition, I served as Corporate Secretary for the five subsidiaries within the NCA region and, in this capacity, conducted annual board meetings, maintained corporate minute books and prepared resolutions and other corporate documentation. Working with a multi-million-dollar budget for outside counsel, I oversaw complex litigation, the legal aspects of all construction, expansion and acquisition projects within the region, including the construction of a $2.7B facility for the manufacture of hyperpure polysilicon for the semiconductor and solar energy markets. Prior to going in-house, I was an equity member of a regional law firm based in Chattanooga, TN. In this capacity, I served as a member of a three-person site selection team for Fortune 100 company, negotiating tax incentives, conducting due diligence and negotiating commercial real estate transactions and credit tenant lease agreements. I also served as lead counsel for taxable bond issues in amounts up to $100 million, and I reviewed financial structures to achieve creative solutions for capital projects. Accompanying the Governor, I served as a member of the Tennessee Delegation for two trade missions to China, and I was selected to serve on Tennessee's committee to evaluate and revise the State's incentive policies.
