Assessed and negotiated the terms of transfer, and third-party sale, of commercial real estate from four bank acquisitions, including the largest bank failure in Indiana history, the FDIC-assisted Irwin Union Bank ($2.7B). Responsible for negotiating all commercial contracts, annual operating budgets, the implementation of portfolio initiatives, and corrective actions plans on a 3.6M SF, mixed-use portfolio. At any time managing almost half that sum, in as many as 16 states. Retained over 95% of all inherited tenants, with less than $120K spent on TI. No post-close claims, for transactions ranging in value from $1,000 - $11M. No demands in last 4 years exceeding $10,000. Commendations on all public / internal audits. Sale of distressed real estate ($145M, at 97% of FMV) compares to the bank’s net income of $411M over this same time period (1300 employees). Increased the % share of acquired assets sold, year-to-year, each full calendar year. Exceeded sales benchmarks every year, by no less than 10%. Closed escrow on the largest recorded sale in Ferguson for 2014, less than a mile and 60 days removed from the rioting–social unrest.

Retained by Duke Energy to serve as Contractor Administrator for the $4B-Edwardsport coal combustion facility then under construction. Managed highly technical, multi-tiered contracts, and mediated novel, complex commercial disputes. More than doubled the sum of backcharges collected at Edwardsport in my first 180 days on-site, as were collected overall, in the preceding two years. Almost ¼ of these collections were from international suppliers.As counsel for Desert Golf Homes, LLC (2007-2010) responsible for all aspects of investor relations, credit negotiations and troubled asset preservation. Staved off an imminent foreclosure action, of my client’s principal project, in La Quinta, California, by securing a private investor loan within days of the Lehman Brothers’ bankruptcy in September 2008, preserving almost $8M in client equity. Retained as counsel on behalf of the Indianapolis Marion County Public Library in its $45M construction defect litigation involving Central Library (eventually heard by the Indiana Supreme Court). Responsible for the review, analysis and coordination of millions of pages of electronic discovery material.Provided contract legal, retail real estate and technology start-up services. Efforts included work to establish a state affiliate for commercial tenant representation, and the development of joint venture arrangements, involving patient-specific software, with local medical facilities.

Led efforts to sell, and subsequently transition, my privately-held employer into operating as a public company division. Rolled out and integrated all contracts, policies and training programs. Wound down all loans, lines of credit and affiliated mortgage and manufacturing facilities, all under tremendous time constraints. Instrumental in the growth of the acquired company, from $85M in sales in 2001, to $115M three years later, at the time of its sale. Sharply reversed that company’s performance in the areas of acquisitions, partnerships, claims, contracting, and procurement. Started with less than three months’ supply of inventory (entitled real estate). In a little over three years, increased this sum twelve-fold, in better markets and for better terms. At the time of sale, these acquisitions accounted for some 85% of the company’s revenues. Achieved one of the company’s highest vendor compliance rates (out of 34 divisions). Directed all local efforts involving a pre-existing, corporate-wide FTC order. Compiled sales disclosure reports ahead of schedule, permitting sales offices in 38 locations to officially debut three weeks early. Successfully diffused an environmental defect situation, involving several hundred potential claimants, which threatened to torpedo the company’s launch in the Indianapolis market.
