Draft and review various legal documents and review proposed transactions to ensure maximum benefit to the company while minimizing exposure to risk. Documents includes service agreements, purchase order terms and conditions, construction agreements, SaaS, non-disclosure agreements (NDA), and letters of intent. Counsel internal stake holders including the C-Suite on contracts and ongoing contract negotiations. Provide counsel and ensure compliance with company contracts and policies. Support business units with routine guidance in the development of policies and procedures, customer-facing documents, and training materials.

Drafted, reviewed and negotiated land related documents including easements, right-of-way (RoW) agreements, leases, restrictions, environmental reports, zoning matters and PSA’s. Led due diligence in real estate deals, including maintaining and preparing checklists, critical deadline reports, and counsel on negotiation strategy. Provided counsel on matters pertaining to permitting, environmental, and regulatory compliance. Identified title defects and outlined curative measures. Was integral to planning and budgeting of large scale ($50MM+) projects. Worked to develop greenfield projects and acquire assets. Served as point person for daily operational activities affecting the company’s interests in the region. Was responsible for company assets in OH, WV, and KY.

Assisted clients with small business formation, business planning, tax planning, real property acquisition. Assisted clients in negotiations and reviews of purchase agreements, insurance contracts, liquor licenses, and transition of ownership of existing businesses. Negotiated settlements.
