After PayPal acquired Bill Me Later, where I had worked for over a year, I became director/corporate counsel and part of the PayPal (North America) Legal Team. Within that broader team, I was a member of the Commercial Group which consisted of 10-15 lawyers and para-professionals. I reported to the associate general counsel for Bill Me Later (formerly, BML's general counsel).In this role, I negotiated strategic agreements with PayPal merchants, strategic partners and vendors. I sought out and thrived on transactions involving unique and complex legal, technological and operational issues. Following eBay's acquisition of Magento, I led the legal department's integration efforts and served as interim corporate counsel for Magento as it worked to integrate into eBay's X.commerce platform, leveraging my own experience with Bill Me Later's integration into the PayPal organization.
Senior Attorney - Corporate And Securities
I was hired at Bill Me Later as senior attorney--corporate and securities, and in this role I reported directly to Bill Me Later's general counsel. Then a late-stage, venture-backed company, I was the front-line legal resource for Bill Me Later’s corporate secretarial functions, corporate governance and corporate finance activities. Additionally, I negotiated a number of commercial agreements with strategic Bill Me Later merchants and vendors.In the fall of 2007, I worked on a cross-organizational team that consummated a fifth round of equity financing with an investment led primarily by Amazon.com, and I was involved in a related commercial transaction that integrated Bill Me Later as a payment form on Amazon.com. In the same timeframe, I was also involved in the renegotiation of Bill Me Later's $1 billion revolving credit facility with Citibank. Through the middle of 2008, I continued to negotiate strategic merchant agreements in support of Bill Me Later's continued expansion across the top 100 internet retailers along with my role supporting BML's corporate finance activities, which included early planning for an initial public offering.Through the middle of 2008, I was involved with BML's efforts to securitize its credit portfolio, but the headwinds growing in the financial markets, especially the consumer credit markets, became increasingly clear as the year progressed. Beginning in the late summer of 2008, I was part of a cross-functional team that negotiated the acquisition of Bill Me Later by eBay's payments business for almost $1 billion.

In mid-2005, I was hired as deputy general counsel for MuniMae, an NYSE listed real estate/financial services company with approximately 500 employees in ten locations. In this position, I was the sole in-house attorney responsible for legal matters at the company, and I reported to MuniMae's general counsel, who served both in this role and head of the corporate practice at a Baltimore law firm. My team ultimately included two para-professionals and was responsible for monitoring compliance with federal securities laws and NYSE rules and regulations; advising on corporate law and governance matters, corporate finance transactions, employment and equity compensation matters, and mergers and acquisitions transactions; and overseeing all corporate secretarial functions.
