Executive Vice-President And General CounselMatthews International Feb 2022 - PresentPittsburgh, Pennsylvania, UsOriginally joined Matthews in January 2005 and was promoted to Vice-President and General Counsel in February 2009. As a member of Matthews' Executive Leadership Team and now serving as Executive Vice-President, I remain responsible for directing all domestic and international legal matters. Upon joining Matthews, the annual revenue was approximately $500 million and has more than tripled to approximately $1.88 billion, primarily through highly strategic acquisitions. In recent years, the legal team has helped lead over 80 different acquisition initiatives, including deal negotiations, coordination of regulatory interaction, synergy analysis, due diligence execution, contract drafting and integration management. Several of the acquisitions have also required the development of successful strategies for securing HSR approval from the Federal Trade Commission and the Competition Commission of the European Union. The legal team has developed strategic partnerships with diverse internal clients, from business unit leaders across the globe to the Board of Directors, always endeavoring to provide timely, thoughtful and practical legal guidance and direction. Whether negotiating, managing and coordinating Matthews' international acquisitions (including various transactions over the years in China, Germany, Turkey, England, Italy, Nigeria, Switzerland, Austria and Hong Kong), as well as directing dozens of strategic mergers and acquisitions throughout the U.S., or simply providing daily advice to the various business units, I am proud to have built a highly committed legal team that is capable of identifying constructive options and pragmatic solutions reflecting a meaningful understanding of each business units' unique challenges and objectives. PartnerFried, Kane, Walters, Zuschlag & Grochmal 1997 - 2004While a partner at Fried, Kane, Walters, Zuschlag & Grochmal, enjoyed extensive litigation experience, including successfully representing the Pittsburgh Steelers in a matter initiated by a former professional football player and the NFL Players Association challenging the constitutionality of the wage calculation for injured professional athletes in the Commonwealth of Pennsylvania. This case was argued orally before an en banc panel of the Commonwealth Court of Pennsylvania in the matter of Lyons v. WCAB (Pittsburgh Steelers), 803 A.2d 857 (Pa. Commw. 2002), alloc. denied 823 A.2d 146 (Pa. 2003). Also, successfully represented one of Pennsylvania's largest insurers in an appellate case argued orally before another en banc panel of the Commonwealth Court of Pennsylvania in the matter of Mahon v. WCAB (Expert Window Cleaners), 835 A.2d 420 (Pa. Commw. 2003). In addition, successfully argued several appellate court cases while representing the City of Pittsburgh against the Fraternal Order of Police and other labor organizations before the Commonwealth Court of Pennsylvania in the following published decisions: City of Pittsburgh v. WCAB (Plowden), 804 A.2d 82 (Pa. Commw. 2002), alloc. denied 816 A.2d 1103 (Pa 2003), City of Pittsburgh v. WCAB (Wiefling and Broz), 790 A.2d 1062 (Pa. Commw. 2001) and City of Pittsburgh v. WCAB (McGrew), 785 A.2d 170 (Pa. Commw. 2001).As a litigator, represented diverse companies throughout the Commonwealth of Pennsylvania in creating and implementing cost-effective strategies to manage employee liability matters. In this capacity, developed a close working relationship with the City of Pittsburgh's legal department and the Office of Personnel in creating a comprehensive mitigation plan to aggressively address the immediate reduction of long-term liabilities, including the development of strategies to transition police officers and firefighters from benefit entitlement under the Pennsylvania Heart & Lung Act.
