Providing high quality legal, commercial and regulatory advice through Lawyers on Demand and Eversheds Agile. My most recent assignment was with Willis Towers Watson, a pre-eminent insurance and re-insurance brokerage and advisory business, undertaking a wide range of advice, drafting and negotiation of insurance and re-insurance carrier agreements, professional services agreements, captive insurance outsourced services, as well as advising on regulatory matters affecting the Willis Towers Watson brokerage business, and supporting the Brexit Programme.

Management - Working on strategic issues as a valued and trusted advisor to the Board and senior management across DST. Managing, overseeing and mentoring legal team members. Attending a wide range of senior level business meetings. Leading internal and external legal teams on larger deals and projects, training them on DSTs positions and approaches to risk. Delivering advice on all legal, commercial and regulatory issues for the Wealth Management and Insurance business.Commercial - Conducting large-scale and high-value BPO contract negotiations with pre-eminent brands in the financial services industry (with contract values between £10m and £1bn) for both the Funds and Wealth Management and Insurance business units, often of a pan-EMEA nature. Leading the attendant projects for the associated sub-contracting, software licensing and other legal issues, such as intellectual property, data protection and employment law. Negotiating a wide variety of agreements for IFDS Managers, a hosted Fund business. Corporate - Conducting M&A work, both in acquisition and disposal activity in concert with external teams. UK legal lead on the corporate restructuring of the IFDS joint venture Group. Advising on and negotiating commercial disputes with clients, giving pre-litigation advice, conducting mediation and finalising settlement agreements. Fulfilling the pseudo company secretarial role for the business, to fulfil the requirements of the FCA.Regulatory - Opining on developments in regulation affecting DSTs business and the services it provides to its regulated client-base and taking the lead Legal role in the projects to implement regulatory change within the business and WMIs service offering, including the contractual changes. Providing legal opinion on regulatory issues arising in respect of IFDS Managers and instructing external advisers on regulatory issues affecting the business.

Commercial - Negotiating a wide range of outsourcing and software licensing contracts for NLP and the broader Northgate Public Sector Division, ranging in value up to £10s millions. Due to the public sector nature of the business, this included participating in numerous public procurement (OJEU) tenders, including Open, Restricted, Negotiated and Competitive Dialogue procedures.Negotiating teaming and other “partnering” agreements, third party agreements, subcontracts (as either prime or sub contractor) and all back-to-back arrangements. Corporate - Involvement in due diligence activity of acquisition activity, including acquisition of Arinso. Taking the legal lead on the acquisition of Kendric Ash, including the drafting and negotiation of the shareholder agreement and disclosure letter. Management - Acting as legal representative of and adviser to the NLP Board at which strategic and key tactical business issues were considered. Managing, overseeing and mentoring another team member and PA.
