Primary attorney supporting: Amazon’s North American fulfillment center operations, a network of 34 facilities totaling more than 20 million square feet with more than 15,000 full time employees; North American customer service and international customer service outsourcing; human resources; accounting; and Amazon’s dropship program. Negotiate purchase agreements for a wide variety of products and services, including conveyor and sortation equipment, temporary staffing, benefit plan administration, accounting services, recruiting, physical security and software development. Advise on customer privacy, safety and other regulatory matters.

Corporate Governance, Securities Disclosures, Proxy Contests: Recognized expert within the firm on poison pills and corporate defenses. Assisted with corporate defense efforts in proxy or consent solicitation contests for Emulex Corporation, Ameron International Corporation and Ashworth, Inc., among others. Transactional Experience: Negotiated agreements for acquisitions of internet video, medical software, aerospace fastener, printing and other corporations; led diligence process for multiple transactions. Key client contact for clinical research startup in Angel financing rounds (debt and equity). Advised on several capital markets transactions for a major homebuilder. Advised on debt tenders for the spin-off of Tyco Electronics and Covidien Healthcare from Tyco International, and the separation of The First American Financial Corporation and Corelogic.
