• Research 50-state surveys on various topics of law and complete various deep dives on topics such as federal and state efforts to combat human trafficking; best practices nationwide to combat stalking; nationwide efforts towards reforming bail; medical cannabis regulations and statutes on procedural matters from selected states; workers’ compensation laws and trends nationwide; and how other states approach long-arm jurisdiction over nonresidents;• Provide legal and policy analysis for the following four standing committees of the Georgia House of Representatives: Judiciary Non-Civil; Industry and Labor; Juvenile Justice; and Regulated Industries;• Also provide legal and policy analysis for the Medical Cannabis Commission Oversight Committee. Have previously done so during the 2021 Special Session for the Judiciary Committee and the Special Committee on Access to the Civil Justice System; during 2021 and 2022 for the Science and Technology Committee; and during the 2023 interim for the Technology and Infrastructure Innovation Committee;• Research, review, and draft legislation, with considerations of federal and state constitutionality, conformity or overlap with existing statutes or caselaw, and short-term and long-term policy considerations; and• On a monthly basis, review and summarize U.S. Supreme Court and Georgia cases for members of the Legislature to provide up-to-date analysis of the merits and emergency dockets.

• Facilitated legal needs of corporate clients, including drafting agreements for equity transfers and asset deals; performing due diligence on M&A transactions; providing analysis to clients on federal securities laws, various states’ blue sky laws, and potential exemptions from each; and coordinating private placements;• Advised clients on proper statutory and regulatory compliance, in various areas of law, with implications that spanned federal, state, and local law;• Successfully formed numerous companies in the State of Georgia, while also advising on corporate governance and coordinating the drafting of clients’ governance documents, including operating agreements and bylaws;• Obtained approval of 50+ federal, state, and local alcohol license and business license applications for start-up breweries, wineries, distilleries, restaurants, and other businesses in the hospitality sector; • Performed extensive research on the U.S. federal tax code to determine updates to the partnership tax code and the effect on LLCs, including significant changes to audits previously implemented under TEFRA;• Was responsible for day-to-day communication with, and effectuating the legal needs of, several of the firm’s key clients across various areas of law;• Coordinated closely with local municipalities in Georgia, in part by drafting suggested revisions to their local codes which were later adopted, to help modernize antiquated provisions; and• Successfully represented clients in local regulatory meetings and hearings, including for license classifications that were never previously applied for, and in a matter in Atlanta Municipal Court for one of Georgia’s largest breweries.

• Successfully converted foreign corporations to Georgia entities and dissolved several domestic and foreign LLCs, and limited partnerships, registered in Delaware, Georgia, Tennessee, and Texas and withdrew those entities’ foreign registrations in various states, after thoroughly researching the legal requirements for each aspect and the laws affecting the governance of each entity;• Drafted Terms and Conditions Agreement for a burgeoning company in order to protect its interests while at the same time ensuring the enforceability of its terms;• Performed critical research for an alter ego claim in order to pierce the corporate veil of a defendant corporation; and• Drafted corporate resolutions, Company Stock Agreements, and various other governance documents.

• Educated students on how to most effectively research with Lexis, while also remaining cost effective;• Ranked in the top 15 out of 200+ Lexis student teams in terms of effectiveness for Spring 2014;• Helped to substantially increase students’ preference of LexisNexis over competitors at GSU, since prior to being hired the preference was 29.5%, while preference during employment later rose to about 66.5%;• Created social media policy for LexisNexis’ GSU Facebook page; and• Taught students how to use beneficial features such as Practice Advisor, the Verdict and Settlement Analyzer, and Legislative Outlook.

• Provided research and analysis to the Chairman of the Education Committee regarding assigned bills;• Researched the different models of ‘Recovery School Districts’ around the country in order to analyze Governor Deal’s proposed plan for the ‘Opportunity School District’ and how it would affect Georgia; and• Summarized every bill that was assigned to the committee for review by the members of the House.

• Provided critical research that contributed to the provisions included in the Georgia constitutional amendment and enabling legislation for charter schools, which both passed during the 2012 session; • Researched the implications of, and potential methods of implementation for, online voter registration in Georgia, which was passed on to Secretary of State Brian Kemp and other General Assembly members; and• Performed legislative research on topics such as the motor fuel tax, ethics laws, and education policies and presented research findings directly to the Speaker Pro Tempore in order to assist in evaluating potential legislation.
