CurrentIPO Exposure in February 2007Handling IPO related activities (Issue size- 443.5 crores) including registration of Draft Red Herring Prospectus (RHP), RHP and Prospectus with ROC, Listing of Equity shares with NSE and BSE and Co-ordination with BRLM’s, Registrar and other intermediaries for IPO related tasks.FCCB Issue ExposureInvolved in FCCB Issue of USD 275 million made by Company in November, 2007.Secretarial Handled re-structuring of subsidiaries in USA, Secretarial Compliances for Company’s Wholly owned subsidiary (WOS) in London, UK, Compliance framework, Merger of WOS with the Company, loan documentation from Banks in UK & Canada. Implementation of good Corporate Governance practices & got recognition for the Company to be amongst the Top 25 Companies in India for good Corporate governance conferred by Institute of Companies Secretaries of India, India. Ensuring compliances as required under Companies Act, 1956, SEBI Regulations and Listing Agreement with Stock Exchanges and other Regulatory authorities in India. Handling entire gamut of activities such as drafting of Agenda, Notices, Minutes and all work pertaining to Board/Committee/ General Meetings, co-ordination with the Registrar & Transfer Agents , application to MCA for exemption under 212 (8). Completion of all formalities relating to allotment, execution of Corporate Action Forms with NSDL and CDSL and Listing of shares with BSE and NSE for shares allotted under the Employee Stock Option Scheme of the Company.
