A law practice focused on negotiating and drafting retail, shopping center, big-box, pop-up store, office (including medical office) and industrial leases and other commercial and retail contracts, as well as renegotiating/restructuring distressed leases, rents and commercial agreements. Also providing general corporate counsel services, negotiating and drafting a wide variety of other retail & shopping center contracts, including REAs, construction contracts, maintenance contracts, management agreements, vendor agreements (including e-commerce), brand licensing and marketing agreements, nondisclosure agreements, LOIs, sponsorship deals, entertainment and venue agreements, and consulting/employment agreements.

Managed the Company’s legal affairs and provided confidential counseling, risk analysis and legal advice to the CEO, the executive management team and other departments on a variety of legal, contractual, consumer and operational issues. Supervised a team of legal professionals, and negotiated and drafted hundreds of corporate contracts annually including commercial & business contracts; retail, commercial, office and industrial leases; brand licensing agreements; outsourcing/supplier contracts; e-commerce agreements; marketing agreements; sponsorship and entertainment agreements; letters of intent; vendor agreements; RFPs; management agreements; construction and maintenance contracts, contractor/subcontractor agreements, proposals and bids; partnership/joint venture agreements; confidentiality and nondisclosure agreements; equipment leases; SNDAs/estoppels; software licensing; insurance and more. Managed litigation matters and supervised outside counsel; provided guidance on risk and liability issues, desired outcomes and negotiated settlements; addressed potential trademark/copyright violations and cease & desist notices/actions. Advised Human Resources on many employment/benefit issues and insurance matters; drafted and implemented new company policies and procedures; drafted employment/separation agreements. Approved all rental or other payments for hundreds of retail locations and other goods/services; oversaw data entry of all significant contract payments and key points. Lead company through seven (7) major corporate acquisitions and rebranding of over 1,100 retail stores.

Supervised a staff of attorneys and paralegals, including outside counsel, and supervised all legal activities of real estate department for large national REIT. Primary focus was on negotiating and drafting commercial lease agreements, shopping center and building documents, REAs, management and marketing agreements, letters of intent, AIA construction contracts, maintenance contracts, and ancillary real estate documents such as SNDAs, estoppels, memorandum of lease, and Sureties/Guarantees. Responsible for approval of all construction allowances and the collection and verification of required documentation including lien waivers, insurance certificates, affidavits and governmental approvals.
