Advise on projects encompassing: M&A, strategic development, bankruptcy/ restructuring, valuations, etc.

Responsible for all aspects of financial / operational management for privately owned TV station group, (encompassing, post 2008 bankruptcy, 13 stations operating across 8 states generating $15 million in revenue) including strategic & financial planning; budgeting & forecasting; bank relations and risk management. • Restructured company’s cost structure (down 20% or $2.5 million), over a 3 year period, through combination of: sale/ closure of inefficient operations; staff / costs restructuring and/ or elimination; financial engineering and outsourcing, while concurrently increasing revenue 18% thereby, increasing cash flow 110%. • Implemented a company wide “bottoms up” detailed expense budget process to assist in identifying any non-essential expenses. • Worked closely with bankruptcy counsel and creditors in managing the banruptcy process (2008) for 13 TV stations eventually sold via a credit bid. • Renegotiated contracts/ payment terms with various critical vendors to more accurately reflect the economics/ financial realities of the company. • Responsible for implementing company’s risk management strategy, including: insurance coverage; credit exposures/ policy; employee benefits, etc. Reduced employee benefits’ annual costs by 23% with minimal impact to coverage. • Renegotiated various revenue contracts resulting in a ten fold increase in this revenue stream. • Staged the systematic liquidation of company affiliates that, in essence, exceeded initial valuations by over 100%. • Negotiated favorable outsources arrangements that effectively avoided $ millions in capex, while simultaneously improving cash flows. • Served as Trustee on the company’s 401(k) defined-contribution pension plan.

• Co-Head, Global Media & Communication Group, New York, NY (2001 – 2003)• Group Head, Media & Communication Group, New York, NY (1988 – 2003)Coordinated the bank’s commercial and investment banking for all media and telecom sectors. Provided clients with customized corporate finance and advisory services in areas such as mergers, acquisitions, equity/debt capital raising (public and private), derivatives and treasury management services. Based upon success, responsibilities were expanded to Co-Head of the global effort for media and telecommunications. • Founded the Media & Communications Group in 1988, and built it to national prominence in the media / satellite sectors. Many of these corporate profiles had business models based on SaaS like platforms. • Successfully positioned the bank in 1999-2002 timeframe in over 40 capital market transactions with an aggregate value in excess of $30 billion. Worked extensively with rating agencies, global syndication market as well as legal, audit and tax counsel. • Transitioned product offerings from a balance sheet orientation to a broader scope of corporate finance products and solutions, increasing unit ROE 20%. • Helped form the U.S. Equity Research Group to support both traditional lending, as well as the Bank’s developing corporate finance activities. • Responsible for risk management on a $1.5 billion loan portfolio primarily comprised of non-investment grade corporate obligations.
