Lead attorney for M&A and Business Development matters in North America and Europe;Advising on a wide variety of strategic transactions, including public and private company mergers and acquisitions, business divestitures, asset sales and purchases, collaborations, joint ventures, co-development/co-marketing deals, spin-outs, etc.;

Reviewing, drafting, and negotiating a wide range of business-related and commercial contracts;Managing acquisition and divestiture deal activities;

• Counsel to numerous broker dealers, investment managers, hedge funds, private equity funds, investment banks, as well as private and public companies, in a broad array of representations including regulatory and transactional matters. o Transactional matters include: offerings of debt and equity securities, PIPEs, IPOs, M&A transactions, joint ventures, reverse mergers and tender offers.o Regulatory matters include: regulatory compliance, enforcement matters, membership applications • Responsibilities include negotiating and drafting various agreements and deal documents including: securities purchase agreements, joint venture agreements, private placement memorandums and various types of financing documents. • Counsel and prepare documents on various corporate governance matters, including presentations to boards of private and publically traded companies.• Prepare various SEC reports and disclosures including 10-Ks, 10-Qs, Form 3s and 4s, proxy statements, registration statements and various other SEC filings.• Substantial experience with SEC, FINRA, NASDAQ rules and regulations, and communications with regulators.
