Part-time advisor, gas and electricity distribution, with a focus on energy regulatory legal issues, complex commercial matters, compliance with gas and electricity laws and rules, frameworks for emerging energy technologies.

The legal side of my role includes:- providing legal and governance advice to Jemena's leadership team, other key group personnel, and the Board of Directors of Jemena’s Australian holding company- managing the legal aspects of major corporate transactions, networks pricing reviews and other energy regulatory matters, and infrastructure projects, including drafting, reviewing and negotiating contract documentation- engaging and managing external law firms- managing the reporting of material legal issues from Jemena’s in-house legal team to Jemena’s Leadership Team, the Jemena Board and to shareholders, including preparation and vetting of board papers, preparing legal sign off packages, and providing verbal briefings- providing strategy advice for key transactions and disputes- advising on corporate approval requirements, including the application of delegations of financial authority, powers of attorney, and preparing and reviewing Board documentation.Management roleIn addition to legal work, my role includes a broad range of management activities, including:- day to day management of Jemena’s North Sydney-based Legal team (currently 5 staff), including performance appraisals, HR/recruitment issues, managing workloads/allocation of new work, and supervising staff working on matters with potential material impact to the business- participating in risk reviews of material transactions and key litigation;- preparing and reviewing budgets and business plans for Jemena’s legal function;- representing Jemena’s in-house legal function in discussions on material management issues, such as Group restructures and corporate policy reviews- participating in business planning and strategy development- from time to time, attending Board meetings and meetings of Board committees
