Queensland Treasury Corporation (QTC) is the Queensland Government's central financing authority. In my role as legal counsel, I advised on and managed the legal requirements pertaining to QTC's financial market activities covering various onshore and offshore funding programs, derivatives and other financial arrangements. As part of my role, I also assisted with the structuring, negotiating and drafting of various commercial agreements. This included drafting master service agreements, master facility terms, guarantees and confidentiality agreements. This required me to work closely with key internal stakeholders to ensure legal risks are identified and project objectives are met.

Graymont Limited is North America’s second largest supplier of lime and lime-based products with facilities across the United States, Canada and New Zealand. As part of my role in the legal team, I have supported in structuring, negotiating and drafting a wide range of commercial agreements and financings as well as dealing with regulatory matters. I have assisted Graymont in drafting transaction documentation for various overseas investment opportunities, including Graymont's acquisition of McDonald's Lime and Taylor's Lime. In addition to drafting transaction documentation, I have assisted in drafting supply and purchase agreements, licensing documentation, large equipment purchase agreements as well as transportation agreements. As part of my role in the legal team, I work directly with the business to ensure legal risks are both identified and adequately addressed.

I acted in the role of legal counsel at Aurizon (formerly QR National) in the corporate legal team. My responsibilities included providing strategic legal advice to the corporate and commercial functions within Aurizon. Support areas included mergers & acquisitions, finance, operations, procurement and various major projects. As part of this role I drafted various agreements and other transaction related documents. I also provided advice to the organisation in order to ensure it complies with its obligations under the Corporations Act and ASX Listing Rules.

I worked in the Corporate Advisory team at Corrs Chambers Westgarth, a leading Australian independent law firm with over 120 partners. As part of this role I advised numerous multi-national listed and unlisted companies on public and private M&A, equity capital markets, corporate structuring and associated due diligence investigations. Our clients spanned a wide range of industries including energy & resources, consumer deliverables, financial services and cloud computing. As part of this role I worked on a number of significant transactions, assisting with the drafting of key transaction documents including share & asset sale agreements, joint venture agreements, transitional services agreements, licensing arrangements, confidentiality agreements and Foreign Investment Review Board applications. I also assisted clients with corporate governance issues such as compliance with the Corporations Act and the ASX Listing Rules, as well as advising on director’s duties, shareholder meetings and employee incentive plans.
