-Draft, review and negotiate all contracts related to Apellis research, development,manufacturing and commercial activities, including vendor and site CDAs, general MSAs, project-specific SOWs, COs, MTAs, Consulting Agreements, Ad Board Agreements, ManufacturingAgreements, and other contracts-Assists attorneys in resolving complex legal issues on projects or negotiations involving multiple disciplines within legal department and/or multiple functional areas or divisions within Apellis.-Provides recommendations as to template updates as necessary-Ensure alignment with Apellis internal policies, procedures, SOPs, and guidance with respect toclinical contracts and escalate issues internally for resolution- Ensure review and buy-in from the relevant business owner as well as other Apellis supportfunctions, such as Procurement, Regulatory, Compliance, Privacy, Safety, and Apellis DeputyGeneral Counsel-Identify issues that may or may not directly or immediately relate to contracts but may need tobe addressed in contract amendments, change orders, project reconciliations, etc.-Assist, to the extent requested, in the ongoing study-specific risk assessments, identifying andraising issues to the Deputy General Counsel as appropriate- Establish positive relationships with Apellis business owners and encourage proactive project-related communications-Save each Apellis-signed contract in the contracts management system in a timely manner withnecessary metadata tagged for reporting purposes
