Practice is focused on corporate transactional matters and commercial real estate transactions, including:o Negotiating and drafting documents, including asset and equity purchase agreements and related ancillary documents, letters of intent, and confidentiality agreements, relating to the purchase and sale of the assets or equity of businesses in various industries;o Negotiating and drafting commercial real property purchase and sale agreements and related ancillary documents; o Performing title and survey review for buy-side real property purchase transactions; o Negotiating and drafting retail and office leases; o Drafting governing documents for business entities, including limited partnership agreements, limited liability company agreements, buy-sell agreements, and shareholder agreements; and o Advising clients on general business law matters, including entity formation and corporate governance.

Performed all legal work in connection with the Community Development Block Grant (CDBG), Home Investment Partnerships (HOME), Neighborhood Stabilization Program (NSP), and Community Development Block Grant Recovery Act (CDBG-R) Programs, including negotiating and drafting transactional documents, such as loans, grants and all related contracts, memorandums, leases, ordinances and resolutions.

o Briefed the Texas Attorney General on public information requests under the Texas Public Information Act and provided legal counsel to county officials and department heads regarding public information requests;o Represented victims of family/dating violence in obtaining protective orders; ando Reviewed petitions for misdemeanor expunction, misdemeanor non-disclosure, and occupational driver’s licenses to determine eligibility under state law, and drafted motions and appeared in court hearings as necessary to contest those petitions.

Reviewed documents and analyzed content for responsiveness for production in large-scale pharmaceutical product liability defense cases.

o Interpreted the Texas Public Information Act and other applicable confidentiality laws in issuing legally binding, quasi-judicial rulings that determined whether information held by state governmental bodies was open to the public; ando Drafted and issued over 640 rulings in resolution of disputed open government cases.
