Financial Reporting Manager

Duties: Provide research and analysis on existing and emerging accounting and reporting issues; Ensure compliance to new SEC regulations including Sarbanes Oxley and Regulation G; Recommend and present courses of action or alternatives on such issues to management; Consult with business units and process groups (M&A, planning, financial analysis) on potential acquisitions, divestitures, or other special transactions; Instruct U.S. and European personnel on appropriate application of GAAP; Develop, draft, and coordinate review/approval of the financial section of annual report to shareowners, quarterly and other filings (S-3, S-4, 8-K's) with the SEC, company responses to accounting groups (FASB, SEC, EITF) concerning financial and disclosure issues; Maintain and update the corporate controllership policies and procedures; Assist investor relations in communication to analysts including quarterly conference call; Assist treasury in financing activities with banks, underwriters and attorneys; Maintain good working relationship with the independent auditors concerning appropriate accounting treatment of company transactions and the conduct of their audit.
