1. Leading a team of 16 lawyers since 2007 supporting Santander UK's Financial Management and Investor Relations and Santander Global Corporate Banking divisions, providing legal support and advice in relation to derivatives (equity, property, rates, credit, FX), structured products, structured transactions, short term markets, unsecured issuance (MTN, CD, CP and deposits), covered bonds, securitisation and liquidity and regulatory capital management and elements of transaction banking (cash management, supplier payments). 2. Leading role within Santander UK’s Banking Reform project since June 2014, including:• Developing the legal structure and implementation plan for ring-fencing within the UK group, including implementation risk identification and mitigation.• Analysis and guidance on the scope of the secondary legislation and proposed PRA rules to define the perimeter and height of the ring-fence, including responding to consultation papers and dialogue with PRA, FCA and HM Treasury.• Contributing to the development of business and operating model and financial modelling.

Three principal elements of the role:1. Principal internal lawyer handling the financial restructuring of Marconi plc/ Marconi Corporation plc through an innovative scheme of arrangement (3/2002 to 5/2003). This involved:● development of the structure of the financial restructuring, including negotiation of heads of terms and input into insolvency analysis● negotiation of standstill arrangements with key financial creditors● advice on director duties and risk issues● implementation of the financial restructuring, including negotiation of scheme documentation and high yield bonds to be issued pursuant to the scheme, development and execution of subsidiary re-capitalisations plans, implementation of ring-fence around group's US business2. Sole treasury lawyer, responsible for legal risk management in relation to Marconi group treasury activities (2/2001 to 3/2002). This involved negotiation of syndicated bank facilities, receivables factoring, cash pooling arrangements, performance bonding facilities, hedging transactions and open market bond repurchases.3. General counsel to vendor finance unit, responsible for legal risk management in relation to vendor finance transactions for Marconi group customers (2/2001 to 9/2001).

Solicitor within International Finance & Capital Markets Group (9/1994 to 2/2001): Advised on transactions and arrangements covering a wide range of types of finance/ financial instruments for various clients, including: • capital markets: principal assistant solicitor in the team acting for the Bank of Scotland in the securitisation of £3 billion of its corporate loan portfolio.• derivatives.• acquisition finance: principal assistant solicitor in the team acting for Blackstone Real Estate Advisors in the negotiation of the £375.6 million acquisition finance facilities for the acquisition of The Savoy Hotel plc and euro 22bn acquisition facilities for Olivetti's takeover of Telecom Italia• project finance: advised London & Continental Railways on financing for the construction of the Channel Tunnel Rail Link• bank regulation: principal assistant solicitor in the team acting for CALFP Bank in relation to it obtaining authorisation under the Banking Act 1987
