ECRNA is the 5th largest wind energy company in the U.S. and a subsidiary of E.ON AG, the largest investor-owned utility in the world, headquartered in Dusseldorf. Broad responsibilities for management of company's legal affairs, providing, coordinating and arranging for legal support for all aspects of companies activities which include development, construction, operations, real estate leasing and energy sales activities. Selected by American Securities, LLC (a $4 billion+ private equity fund, see: www.american-securities.com) from prior entity, Primary Energy, to establish company’s start-up legal and PE operating structure. Responsible for all legal affairs of this ‘deal shop’ for parent private equity entity that operated 14 independent power facilities. Primary Energy was owned by American Securities, LLC, a mid-market private equity firm. While at Primary acquired 8 independent power projects to add to an existing 6-facility portfolio and closed over $1 billion in debt/other financing transactions. Transactional work included successfully closing a "mega transaction" that financially restructured company's asset and involved renegotiation/buy-out of all existing financings together with simultaneous implementation of a new financing structure (11 financing transactions in all) in conjunction with a partial IPO into a new Canadian Income Trust publically traded on the TSX.

Worked for Mayer, Brown LLP on a contract basis in firm’s Project Finance area and developed a private practice focusing on corporate, commercial and transactional interests. Particular focus on construction and project finance involving traditional and renewable energy, pipeline and heavy industrial projects.

Responsible for mergers and acquisitions, joint ventures and financing transactions at CBI, a $1.9 billion, multi-national construction company. Additionally, regularly represented CBI as in-house counsel on a wide range of construction contracts, sub-contracts, supply and engineering agreements involving large-scale complex industrial projects.
