*A member of the Senior Executive team, contributing to decision-making on strategy and on material transactions, capital deployment and other operational decisions. A statutory director of Group subsidiaries.*Established and maintain a robust and efficient corporate governance framework for the PLC Board and Committees, the Senior Management functions and across the operational business, culminating in the Company’s step-up from standard to premium listing. *Overhauled the Group Risk Register and established a comprehensive risk management programme. Responsible for business continuity and IT incident planning and response. *Advise on all aspects of regulatory compliance, including engagement with the EA and HSE. *Led the tender process for the appointment of new insurance brokers and responsible for that relationship and (alongside the CFO) the insurance programme.*Take a leading role on corporate, debt and capital markets transactions and on commercial disputes, litigation and settlement negotiations. *Established and manage the legal panel. *Led the implementation of a comprehensive employee engagement programme and a wider stakeholder engagement review with the PLC Board. Continue to play a prominent role in the establishment and evolution of the Group’s ESG strategy.*Led a review of the Group’s Remuneration Policy. Implemented and now administer LTIP, Restricted Share Plan, SAYE and SIP schemes.*Responsible for and manage the outsourced IT function, all IT and mobile device infrastructure, cyber and information security, including GDPR compliance.*Responsible for and manage the Estates, Environment and Safety division, which has responsibility for health and safety, environmental compliance, electrical infrastructure and safety, and estate management across a portfolio of c.18k acres.

Worked on regional, national and international commercial restructuring assignments across a diverse range of sectors, including manufacturing, energy, leisure, real estate investment and development, agriculture, and professional services. I developed a wide variety of legal and commercial skills and experience, with particular strengths in: complex M&A and restructuring transactions and insolvency proceedings; all forms of banking and asset finance facility agreements, loan notes and bonds, security and intercreditor agreements and in relation to hedging agreements; real estate sales, acquisitions and asset management; employment and pensions; commercial disputes and court proceedings and intellectual property.

Advised on all aspects of lending to a variety of sectors, including:* restructuring banking facilities;* the validity and enforceability of the bank’s security, including legal, commercial and reputational considerations associated with enforcement;* customer proposals for facility and group restructuring;* customer commercial contracts and leases;* regulatory intervention by the Financial Conduct Authority, particularly in relation to its review of the sale of interest rate hedging products; and* sector specific advice, particularly leisure, agriculture, property development and professional services.
