Responsible for all tables in Compensation Discussion and Analysis and Director Compensation sections of proxy statement.● Compensation Committee meeting materials. Transitioned Compensation Committee materials from binder/paper system to BoardVantage electronic platform. Committee members access materials on iPads. ● Equity compensation plan management. Monitor and forecast fungible share reserve. Manage requests for new share authorizations when necessary; successful additional share authorization under primary equity compensation plan in September 2013. Primary point of contact in Darden relationship with third-party equity administration platform provider Morgan Stanley.● Communication of annual performance vesting factor to participants in performance share plan. Transition to vesting calculator based approach allowing executives to model share and dollar payout value (vs. prior communication of simple dollar amount transferred) has driven executive understanding of and increased perceived value of performance share grants.● Produce compelling executive offers. ● Annual market pricing, proposal and implementation of changes to salary and bonus structure for operations management employees.● Model cost impact of compensation program changes and adjustments including those resulting from structural adjustments, merit program adjustments, changes to wage and hour laws/regulation. Improvements made to MS Excel merit spend model allowed for real-time spend projections based on changing management feedback, enabling highly productive working sessions with senior management when setting merit budgets, vs. prior model – feedback – re-model process.● Provide guidance to managers and operating unit HR regarding new hire and promotion compensation.● Designed geographic pay differentiation system based on MSA geographic segmentation.
