Since January 2019, I have been Chief Compliance Officer for the combined HireRight organization. In this role, I oversee the organization's efforts to comply with the key laws affecting our industry, including providing advice, overseeing compliance education for our team members and customers, directing a roadmap of compliance projects in our information technology group, conducting risk assessments, conducting and responding to compliance audits, and overseeing litigation.

The General Information Services (GIS) family of companies acquired the HireRight family of companies by way of a merger in July 2018. I was with GIS before the merger. For about six months after the merger, I continued as general counsel for the GIS family of companies as we integrated the businesses. As part of this integration, I shed my roles as vice-chair, board member, secretary, and head of human resources. My role within the legal function was otherwise unchanged until the end of the year.

In January 2017, our founders sold a substantial minority stake to General Atlantic, a great private equity partner. I served as one of our five board members, presided over its meetings as vice-chair, and acted as secretary. My roles overseeing our legal and human resources functions were otherwise unchanged.

In mid-2015, our human resources and training department began reporting to me (in addition to the legal department). In this role, I focused on building out our training capabilities, adapting to a full-employment environment in our main operating locations, and managing with a very light ratio of HR staff to employees that we supported.In 2016, we began the process that ultimately led to the sale of a substantial minority stake. I led the negotiations for the selling founders.

In this role, I oversaw all the legal affairs of the group of related companies. I was the first lawyer at the company. I built out strong contract drafting, negotiating, and management processes. My primary activity was negotiating deals with customers, vendors, partners, and small acquisitions. I oversaw our compliance with law, including the formation of a compliance office within the legal department and the management of a compliance roadmap within our information technology group. I oversaw our litigation, which continually grew as our volume of business expanded and case law under the Fair Credit Reporting Act made compliance more difficult. I helped reorganize the companies for the purpose of the founders' estate planning and preparation for eventually bringing in outside investors.

Negotiated successful sale of the company, with over 230% return on last money in. Handled all legal matters. Resolved extensive shareholder litigation threatening solvency of company. Drove two business line divestitures. Negotiated complex customer and alliance agreements. Acted as trusted advisor to Chief Executive Officer on strategy and personnel. Refocused human resources department on strategic value. Managed compensation strategy, including executive compensation. Built contract management database. Supervised outside counsel and in-house paralegal. Managed departmental expenses under budget.

Drafted, negotiated, and subsequently managed complex commercial transactions up to $100mm, including business-to-business e-commerce, strategic alliances, joint ventures, and small acquisitions and divestitures. Prepared and administered form contracts for business lines not requiring individualized attention. Assisted in determining corporate strategy and in larger acquisitions. Managed disputes and litigation. Supervised outside counsel and in house contract negotiator. Mentored junior lawyer. Managed departmental website. Built contract database.

Drafted and negotiated software, services, outsourcing, and confidentiality contracts. Exemplary transaction: $43mm application outsourcing agreement with Lincoln National Corporation. Assisted merger drafting, negotiations, and filings. Managed disputes and litigation. Supervised litigation and intellectual property registrations. Advised internal clients on personnel and facilities issues. Supervised Dallas site. Re-engineered departmental information technology.

Defended state and state actors in employment, tort, and civil rights cases in Law Enforcement Defense Division (formerly Criminal Law Defense Division). Aided use of information technology in docket management, basic research for new attorneys, and document ordering. Published opinions in Schultea v. Wood, 47 F.3d 1427 (5th Cir. 1995) (en banc); Saahir v. Estelle, 47 F.3d 75 (5th Cir. 1995); and Harrison v. Board of Pardons and Paroles, 895 S.W.2d 807 (Tex. App.—Texarkana 1995, writ denied).
