I am a partner at Varnum LLP in the Birmingham, MI office and concentrate my practice in the areas of business law, estate planning and tax.My corporate practice involves assisting individual and corporate clients in a variety of different industries, including manufacturing, construction, health care, automotive dealerships/suppliers, and professional service firms. I work hand-in-hand with these clients in all areas of business law, including but not limited to entity formation/structuring, business planning issues, mergers and acquisitions, liquidations, joint ventures, general financial issues, corporate governance, shareholder matters, purchases and sales of company interests, and corporate succession planning.In the health care area, I work with health care professionals and medical practices in a variety of areas, including the formation, merger, and sale of medical practices and surgery centers, shareholder agreements, Stark Law and other regulatory compliance matters, employment contracts, and corporate governance matters. I have also frequently lectured to physicians completing their residency and fellowship programs on a variety of issues pertaining to them as they transition into practice.I work with closely-held business owners and other individuals to create estate plans that maximize the tax efficient transfer of wealth to successive generations of family members. In doing so, I am involved in the creation of wills, revocable, irrevocable and complex trusts, business succession plans for closely-held business owners, lifetime giving agreements, financial and health care powers of attorney, family partnerships, and charitable foundations and trusts. I also provide counsel and advice to corporations and shareholders, individuals, fiduciaries and beneficiaries on a variety of tax matters, including tax planning and compliance, and assist them with the preparation of tax returns for trusts, charitable foundations, and individuals.It is also important to me to give back to the community that I work in and that my family calls home.
