• Advise executive leadership and regional management of a privately held company with over one billion dollars in annual revenue, three divisions, 5,000+ employees, and 400+ aircraft. Evaluate and advise on enterprise risk including government regulation, corporate compliance, dispute resolution and litigation, contracts, and mergers and acquisitions. • Oversee team of four assistant general counsels providing contract review and legal support to six regional business units and three service centers.• Oversee and manage all commercial, general liability, regulatory, and employment litigation for all divisions.• Provide legal guidance for internal investigations and Human Resources department.• Assisted in diligence process and deal structuring, tender offer, de-listing, and financing for $2.6 billion take-private transaction.• Develop and lead labor relations strategy with unionized pilot workforce in air medical services division; train tourism division leadership and other air medical services functions in union avoidance. • Assist in negotiations related to acquisitions and joint ventures, including negotiation of deal documents, review of due diligence, analysis of risk, and assistance in implementation post-closing. • Assist government relations department with strategy development and implementation related to both federal and state lobbying efforts.• Select and implement legal management software and develop reporting dashboard and litigation metrics to monitor enterprise risk trends.• Review high risk supply chain, real estate, sales and other commercial agreements for compliance with state and federal regulations. • Coordinate with the Chief Compliance Officer to develop and revise compliance policies and training on HIPAA, Anti-Kickback Statute, OSHA, GDPR, gifts and entertainment, cyber security, and conflicts of interest.
