I practice in the area of corporate finance, including both lender and borrower representation. My experience includes the structuring, negotiation and documentation of a broad spectrum of syndicated and non-syndicated credit transactions involving both domestic and foreign companies in a wide variety of industries. These transactions include secured and unsecured loan facilities, acquisitions credits, senior, subordinated and mezzanine credit facilities, multi-currency facilities, ESOP financings, asset-based loan facilities, construction loan facilities, leveraged lease financings, and letter of credit and banker’s acceptance facilities.I also represent both lenders and sponsors in project finance transactions involving the acquisition, construction and financing of electric power generation and landfill gas conversion facilities. In addition, I regularly represent commercial banks when acting in a corporate trust capacity, including as trustee, paying agent, depositary and escrow agent. My experience also extends to federal and state bank regulatory issues and the special legal needs in extending credit to regulated industries.
