Reporting to brand CEO and Americas General Counsel, manage legal department including worldwide legal, regulatory, and compliance matters for BIOVIA, the leading global provider of scientific innovation lifecycle management solutions to the life science, chemical, energy, aerospace, high tech, consumer packaged goods and industrial products industries, a $200 million brand of Dassault Systemes.

- Drafted, negotiated and reviewed all revenue generating contracts for the auto physical damage software and services line of business (approximately $180 million in annual revenue), consisted primarily of complex software license and services agreements with large institutional customers- Drafted, negotiated and reviewed vendor and contractor agreements, including software license agreements, services agreements (and associated statements of work and service level agreements), equipment leases, telecom services contracts, and hosted application agreements- Provided legal advice to the senior executive team with respect to corporate law matters, interpretation of contract terms, regulatory compliance, and legal issues impacting revenue recognition- Managed and assisted outside counsel on complex commerical litigation and class-action litigation matters, including litigation strategy, expense control, subpoena responses, depositions and document production- Executed recent $1.13 billion sale to private equity firm, including all aspects of due diligence and negotiation of purchase agreement and disclosure schedules- Managed all legal aspects of $30 million disaster recovery and offsite data center project, including negotiation of complex colocation and hosting agreements for near and far site data centers- Reviewed and approved all marketing material used by the company, including press releases, product brochures, website content, and quarterly industry reports- Selected, implemented and manage contract management and legal workflow solution, allowing for enhanced workload tracking, status reporting, and contract metadata collection- Responded to a Hart-Scott-Rodino Second Request in connection with a $1.5 billion proposed merger- Managed and led licensing activity associated with corporate investment and expansion into Europe; served in advisory capacity to European partner with regard to contract and licensing issues

- Drafted, negotiated, and reviewed all revenue generating contracts, including software license agreements, customer engineering and services contracts, maintenance and support agreements, and vendor contracts, representing approximately $25 million in annual revenue- Assisted and managed outside counsel on litigation and employment matters- Redrafted and deployed value-added reseller contracts for international software distribution partners- Drafted and implemented click-through license agreements to replace certain written software license agreements for shrink-wrap software products - shortening the sales cycle and increasing the responsiveness of the legal department
