Adjuvance Technologies, Inc. is commercializing synthetic methods of producing the world’s leading adjuvant molecule and developing a portfolio of novel vaccine adjuvants using its proprietary technology. In addition to Corporate Secretary, I served as Outside General Counsel and member of the Board of Directors of the Company.

At Simpson Thacher, a leading firm in corporate and securities law, I advised domestic and international issuers and investment banks in connection with public and private securities offerings including IPOs, convertible note offerings and high-yield and investment grade debt and equity financings. I represented clients in connection with structured finance products and secured debt instruments and closed numerous innovative transactions including an unsecured bond financing by a leading hedge fund, an offering of hybrid convertible junior subordinated debentures by one of the world’s largest mining companies, and a SEC-registered offering of rights and warrants by an international agroindustrial corporation. I also advised private equity firms in connection with complex restructurings and asset sales, mergers of publicly traded companies, and advised their portfolio companies and other large corporations on corporate governance, 34-Act reporting, and other strategic advisory matters.
