Leading the effort, across the Morgan Stanley listed derivatives business, to set up a fund manager and alternative investment fund, in GIFT City, located in Gujarat, India. GIFT City is a Special Economic Zone (SEZ) regulated by the IFSCA. Managing the Morgan Stanley program to set up an office in GIFT City involves managing teams and subject matters related to setting up a financial entity. This includes strategic planning, regulatory approvals, office build out, booking model planning, bank account opening, hiring and onboarding staff, adhering to regulatory and compliance reporting, tax filing, legal counsel reviews, corporate services planning and technology implementation. The fund registered with the IFSCA as a Restricted Scheme, which is a Category- III Alternative Investment Fund (Non-Retail Scheme). The entity then applied for and received a Category I FPI License from SEBI.Registering the fund includes the creation and development of key documents including an investment management agreement, a private placement memorandum, a contribution agreement, trust deed, custody agreement, a business plan, and other formation documents. Entity set up included identifying and appointing a trustee, an independent valuer, an auditor, a tax consultant, a fund administrator, a Compliance Officer and a Principal Officer. Ongoing engagement with the regulator is crucial to ensuring a smooth set up, along with managing active relationships with retail banks, GST office, customs agent, contractors, consultants and more.
