This included rolling out a new Legal & Compliance framework to modernize/commercialize professional services sales across the US. I led all phases of a $500MM private equity transaction with Welsh Carson Anderson & Stowe for the largest operation of micro-hospitals in the US, with a network of 25 joint-ventured micro-hospitals, while building a world class, in-house Legal Department from the ground up for the group. Negotiated/closed on a large portfolio of joint ventures with industry leaders, such as Tenet Health, Memorial Herman, and Dignity Health. I leveraged my expertise and the capabilities of the newly formed Legal team to cut average spending on each joint venture by over 50%.Launched the Legal Department and designed/executed a new strategic plan to cover all corporate legal needs. This resulted in spending on outside legal services being reduced to $0.Served as a strategic partner to the Board of Directors in defending shareholder action, while completing a vital distressed debt refinancing.Directed, trained, and supported a skilled team of 20 across both the Legal Department and the HR Department.

I drove an organizational rebranding from Cardon to become CardonOutreach after directing/completing the acquisition and integration of Outreach Services, a northwest revenue cycle provider. Continued to assume full ownership of both Legal Affairs and all HR operations.Successfully navigated the C-suite team through all of the intricacies involved in implementing ACA regulatory requirements, which was instrumental in laying the foundation for a period of record growth for the group.Was one of the key architects behind continuing to scale overall operations in response to tremendous growth, leading to being acquired by MedData for $400MM, 16x the company’s valuation upon being hired in 2011.

I was recruited to catalyze impactful change and turnaround the struggling company in partnership with the entire Executive team. I succeeded in completely reversing the group’s decline, which included closing on a lucrative private equity investment with Serent Capital. Was relied upon by all levels of leadership as a strategic legal and operational advisor, delivering critical insights to enhance operational performance and protect/further corporate interests, while minimizing risk.Designed an effective settlement strategy for resolving bet-the-business litigation, slashing monthly legal fees by well over $500K.Made key changes to significantly improve compliance and legal capabilities. Assumed full ownership of all litigation matters, as well as employment law covering over 600 employees spread across location in 25+ states.
