Owned and operated boutique hotel and hospitality business in Roatan, Honduras. The hotel included a bar and restaurant. Successfully converted this roughly 25-employee operation from an underperforming asset to one of the top boutique hotels in the Caribbean.

LedgerX is an institutional trading and clearing platform that has received approval from the U.S. Commodity Futures Trading Commission (CFTC) to trade and clear swaps and options on digital currencies. In October 2017, LedgerX became the first federally regulated exchange and clearing house to list and clear fully-collateralized, physically-settled bitcoin swaps and options for the institutional market.

Represented borrowers, lenders, managers and investors in a broad range of financing and derivatives arrangements across a wide spectrum of asset classes, including acquisition financings and other leveraged lending, collateralized loan obligations, securitizations, structured financings, asset-based lending, second lien financings and mezzanine investments.Advised startup RegTech and FinTech companies (including a multi-lateral and dimensional compression entity and a pre-IPO equity trading platform) in formation, regulatory issues, compensation strategy, client and dealer contracts, licensing (inbound and outbound) and other miscellaneous areas.

Represented issuers, investment banks and private investment funds in negotiating and documenting corporate and financial transactions, including corporate and asset acquisitions, high yield and leveraged finance transactions, with extensive experience with collateralized loan obligations, syndicated loans, asset-backed securities, repackagings, project finance, structured credit and related derivatives transactions.Created the technology for the first CDO transaction with a money-market eligible tranche.Advised corporates in respect of corporate governance, structural and strategic matters and in negotiating software subscription, licensing (inbound and outbound) and other corporate contracts.Represented and advised underwriters, private investment funds and corporates in negotiating and documenting derivatives transactions, clearing initiatives and regulatory matters.
