- Assist with the tax planning, project management, and implementation of a U.S. Tax-Free Spin Off transaction to the public for a Fortune 100 multinational corporate client.- Work with foreign tax teams to determine local tax treatments and methods of structuring transactions to mitigate tax costs in more than 60 foreign jurisdictions.- Develop and prepare step plans to achieve the separation or integration of a business unit in a tax efficient manner from a US federal tax perspective and with a focus on Section 368 reorganizations and Section 355 spin off transactions.- Research the US federal tax implications arising from structuring transactions and modeling the implications to the client’s foreign tax credits, Subpart F, GILTI and E&P profiles. - Keep abreast of international tax technical developments and understand the potential implications to the client’s spin off transaction (e.g., proposed regulations, Treasury Green Book proposals, BEPS, etc.)- Calculate implementation values for over 500 transaction steps by analyzing third party valuation reports and balance sheets, analyzing corporate ownership structures, and preparing the calculation model.- Communicate with client's legal team and review transaction documents to ensure that the documents align with the envisioned tax strategy and accurately reflect the corporate shareholding structure. - Manage junior team members on M&A transaction projects by delegating tasks, reviewing staff’s work, managing the deliverable timeline, and resolving tax technical questions.- Seconded for six months at a high-profile Pharmaceutical client to assist client's international tax department with filing of international tax forms, updating legal entity information, and providing general project management.
