Responsible for strategy, customer acquisition, project management and management of prospective investors/financiers. • Won intensively competitive selection process for financial advisory work on a 20+ MW distributed solar generation project; • Advised successful capital raise that generated more than $100 million of tax equity commitments in down market; • Selected to provide strategic advice to international manufacturer assessing US-based solar thermal and PV manufacturing opportunities/locations. • On first full calendar year of new business, generated revenues in excess of target with gross margin greater than 50%. • Managed and led advisory work for the financing of the first US utility scale solar PV project in the U.S. (Alamosa Project, for SunEdison, financed by Union Bank)

Substantive responsibilities involved M&A, finance/securities, SEC/disclosure, and risk management (including comprehensive representation of off-shore captive insurance company). • Directed legal team in divestitures of electric generating assets totaling $300 million; and other energy-related acquisitions totaling $140 million; • Found Buyer, negotiated terms and led business and legal team in innovative regulatory sale of $100 million in QF assets critical to $14 billion merger; • Managed legal requirements for electric power plant development in which pre-construction activities and permitting were completed in record 12-month period; • Spearheaded legal team in a complex, off-balance sheet asset securitization program for $124 million of seasonable receivables; • Directed legal team for regulatory filings and negotiations with State of Vermont, Government of Bermuda, U.S. Department of Labor and the Securities Exchange Commission resulting in unprecedented and innovative reinsurance program. • Led legal team restructuring environmental insurance to recover $80 million; • Coordinated tort litigation strategy involving tens of millions in claims; and • Received two Chairman’s Awards for accomplishments in 2000.
