As the General Counsel of ALPA I was the Chief legal advisor to the CEO and executive management. In addition, I (i) managed all aspects of litigation process, both in-house and through partnering with litigation counsel, (ii) directed, drafted, and implemented company legal policies and procedures, including relating to legal, compliance, safety, and HR matters, (iii) conducted internal investigations, draft position statements, and communicate directly with state and federal government agencies (iv) drafted and reviewed all agreements, and (v) supervised HR and compliance departments.

As a member of Gould & Ratner’s corporate practice group, I focused my practice on corporate law matters, advising individuals and businesses with mergers and acquisitions, joint ventures, financing transactions, corporate formations and general corporate matters.

My practice concentrated on mergers and acquisitions, financing transactions representing both borrowers and lenders, and general corporate matters.• Advise and represent clients with respect to mergers and acquisitions of healthcare facilities and commercial real estate; drafting and negotiating; letters of intent, purchase and sale agreements, stock purchase agreements, operations transfer agreements, leases, purchase options, and loan documentation.• Advise clients with respect to title, survey and zoning. Ensure all uses conform to local zoning ordinances by obtaining necessary documentation from local zoning departments. • Represent lenders and borrowers in financing transactions as to new loans, refinancing, both traditional and loans insured by the United States Department of Housing and Urban Development, and workouts.• Assist clients with corporate formations, including filing incorporation documents and foreign corporation registrations, drafting operating and partnership agreements, and creating articles of incorporation and bylaws.

My practice concentrated on the representation of financial institutions and small businesses in banking, litigation, corporate and real estate matters. I was frequently in state court advocating for my clients’ interests in residential and commercial mortgage foreclosure cases, as well as housing, eviction and collection matters.While my focus was primarily on representing financial institutions, I also represented a number of small businesses. These clients depended on me for; business formation; business acquisitions and divestitures; acquisition and disposition of commercial, retail, vacant and mixed-use real estate; and contract negotiation.
