Charles K. Whitehead specializes in the law relating to corporations, financial markets, and business transactions. He is a co-author of leading Securities Regulation and Business Organizations casebooks in the United States.After clerking for the Hon. Ellsworth A. Van Graafeiland, U.S. Court of Appeals (2nd Circuit), Professor Whitehead practiced in the United States, Europe, and Asia as outside counsel for and general counsel of several multinational financial institutions. His practice included representation involving IPOs and other exempt and registered securities offerings (from start-ups to seasoned global issuers), acquisitions and other strategic transactions, derivatives and other complex financial instruments, and loan and other credit transactions.Professor Whitehead was a managing director at Nomura Securities International, Salomon Brothers, and Citigroup. Among other positions, he was the chief operating officer for Nikko Salomon Smith Barney and head of the commercial banking businesses for Citibank Japan, as well as Citigroup Japan’s country officer.Before joining Cornell, Professor Whitehead was on the faculty of the Boston University School of Law and a research fellow at Columbia Law School. Professor Whitehead’s scholarship focuses on the financial markets, corporate law, strategic transactions, and corporate governance.
